A top-tier global law firm is seeking a Paralegal to join the team in support of the Mergers & Acquisitions practice group in New York City.
Who You Are
- You have a bachelor’s degree and 2+ years of paralegal experience supporting corporate or M&A matters at a law firm
- Highly organized with strong attention to detail when managing large volumes of transaction documents
- Comfortable collaborating with attorneys, clients, and external advisors in a fast-moving deal environment
- Proficient in Microsoft Office and document management platforms such as iManage
- Able to manage confidential information and work extended hours when transaction activity requires
What You’ll Do
- Support attorneys on corporate transactions including mergers, acquisitions, investments, joint ventures, and restructurings
- Coordinate due diligence by collecting, reviewing, and organizing company records and transaction materials
- Manage virtual data rooms and maintain structured document indexing for active deals
- Prepare transaction checklists, corporate documentation, and merger subsidiary formations
- Compile and review capitalization tables and related equity ownership schedules
- Coordinate signature collection and distribute executed documents to deal teams
- Assist with preparation and filing of SEC submissions and other required regulatory or stock exchange notices
- Maintain communication with opposing counsel and outside advisors during the transaction process
- Prepare closing binders, maintain transaction records, and assist with post-closing tasks
- Contribute to internal reporting, transaction libraries, and team operational support

- Transaction documents are organized, accurate, and easy for deal teams to access
- Due diligence materials and regulatory filings are completed efficiently and on schedule
- Signature coordination, document distribution, and closing preparation occur without delays
- Internal transaction records and reporting remain current and well maintained
Salary Range: $100,000 – 118,000 annually, based on experience
Location: New York, NY – Hybrid
