A prestigious international law firm is seeking a skilled Senior Corporate Paralegal to join the team.
Who You Are
- You have 8+ years of paralegal experience in an AmLaw 100 law firm environment
- Bachelor’s degree required; Paralegal certificate and notary license preferred
- Strong background supporting M&A, private equity, financing, and corporate governance matters
- Experience with entity management, transactional closings, SEC filings, and post-closing administration
- Proficient with Microsoft Office, Adobe, and legal technology platforms; Carta experience strongly preferred
- Client-focused and able to manage multiple transactions in a deadline-driven environment
What You’ll Do
- Support corporate transactions from due diligence through closing and post-closing execution
- Coordinate lien, litigation, bankruptcy, tax, and UCC searches and assist with diligence review processes
- Prepare and maintain corporate governance documents, capitalization records, stock ledgers, and organizational materials
- Handle entity formations, qualifications, mergers, dissolutions, amendments, and related state filings
- Prepare and file UCC financing statements, SEC Form D filings, Blue Sky notices, Form ID applications, and EIN registrations
- Utilize AI-powered and legal technology tools to support diligence, document review, and transaction management
- Coordinate signature processes, closing deliverables, closing binders, and post-closing obligations
- Serve as a key resource for attorneys and clients throughout complex transactional matters

- Transactions are executed efficiently with accurate filings and documentation
- Corporate records and regulatory filings are maintained with precision and timeliness
- Closing and post-closing requirements are tracked and completed without issue
- Attorneys and clients receive proactive, high-quality support across multiple concurrent deals
- Complex matters move forward smoothly through strong organization and attention to detail
Salary Range: $150,000 – 200,000 annually, based on experience
Location: New York, NY – Hybrid
